PROTRADE REWARDS PROGRAM MEMBER AGREEMENT

The PROTRADE Rewards Program (the “Rewards Program”) is governed by this Member Agreement (the "Member Agreement") and the terms and conditions of the PROTRADE website http://www.protrade.com/TermsCondition.html. The Rewards Program is owned by PROTRADE and exclusively designed for members to redeem PROTRADE Dollars earned through PROTRADE activities and promotions. Protrade.com and PROTRADE, operated by Citizen Sports, Inc., collectively "PROTRADE," may periodically change the terms and conditions of this Member Agreement without notice to you, by posting an updated Member Agreement on the PROTRADE website, and your continued enrollment and use of the Rewards Program signifies your acceptance of any changed terms.

BY BECOMING A PROTRADE MEMBER, YOU ARE AUTOMATICALLY ELIGIBLE TO PARTICIPATE IN THE REWARDS PROGRAM IF YOU MEET THE REWARDS PROGRAM ELIBILITY REQUIREMENTS AND EXPRESSLY AGREE AND CONSENT TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS MEMBER AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS MEMBER AGREEMENT, YOU MAY NOT ACCESS OR USE THE REWARDS PROGRAM. YOU MAY PRINT THESE PAGES FOR YOUR RECORDS.

1. Eligibility. To be eligible to participate in the Rewards Program, you must be at least 13 years of age or older and a legal resident of the United States including the District of Columbia. The Rewards Program is limited to individuals only; corporations or other business entities may not participate in the Rewards Program. Rewards Program membership is limited to one individual per account and one account per individual. By accessing or participating in the Rewards Program, you represent and warrant that you have the right, authority and capacity to enter into this Member Agreement and to abide by all of the terms and conditions of this Member Agreement. PROTRADE reserves the right, in its sole and absolute discretion, to refuse service and access to any participant. Employees, officers, directors, investors, agents, and representatives of PROTRADE and their parents, affiliates and subsidiaries, and each of their respective immediate family (defined as parents, spouse and children) and any person residing in the same household as such and sponsors and affiliates and advertising and promotion agencies of PROTRADE are NOT eligible to participate in the Rewards Program. PROTRADE reserves the right to limit Reward Program enrollment at any time.

2. Registration In order to participate in the Rewards Program, you must be a PROTRADE member and have created a membership account You will automatically be enrolled in the Rewards Program when you become a PROTRADE member. Any PROTRADE members existing prior to the Rewards Program start up date will automatically be enrolled in the Rewards Program. You agree to maintain and promptly update all personal information on your account and keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, PROTRADE may suspend or terminate your account immediately and may refuse you all current or future use of the Rewards Program. Member accounts may not be merged under any circumstances.

3. Redeeming PROTRADE Dollars. You may redeem accrued PROTRADE Dollars in your “My Portfolio” cash account (funds available) to claim rewards identified on the PROTRADE website at http://www.protrade.com/rewards/Rewards.html. If you are between the ages of 13 and 17, you may only redeem PROTRADE Dollars to claim rewards with the involvement and consent of your parent or guardian. Only PROTRADE Dollars in your “My Portfolio” cash account may be used for redemption. You may liquidate your stock portfolio to move PROTRADE Dollars from your stock holdings to your funds available. As you redeem PROTRADE Dollars for rewards, PROTRADE will automatically deduct the redeemed PROTRADE Dollars from the funds available in your “My Portfolio” account. Rewards and the number of PROTRADE Dollars to redeem them are subject to change by PROTRADE at any time and without prior notice.

You may redeem PROTRADE Dollars for a maximum of two rewards per calendar year. You are only eligible to redeem one “big ticket” Reward per calendar year, which are identified on the PROTRADE website at http://www.protrade.com/rewards/Rewards.html.

a. Redemption Value.Rewards may be assigned multiple redemption values that involve both PROTRADE Dollars and US Dollars. The highest redemption value will be for a maximum PROTRADE Dollars redemption and minimum US Dollar cost, the lowest will be a minimum PROTRADE Dollars redemption and maximum US Dollar cost. The US Dollar cost must be paid by Visa Card or Master Card.

Giantsfan has a “My Portfolio” valued at $245,000 with $230,000 in stocks and $15,000 in cash. Giantsfan would like to redeem some of his PROTRADE Dollars for a prize, but he would rather redeem less of his PROTRADE Dollars and pay more in US Dollars. Giantsfan liquidates $85,000 of his holdings, redeems PROTRADE $100,000 and pays US $25.

b. Redemption Methods. You may redeem PROTRADE Dollars for rewards based on the published redemption value. Once PROTRADE Dollars are redeemed they will not be reinstated to your account.

c. Redemption Restrictions. PROTRADE reserves the right to impose any restrictions on the redemption of a Reward.

4. Disclaimer of Warranties.

   1. You expressly agree that use of Rewards Program is at your sole risk. The PROTRADE Rewards Program and all services offered therein are provided on a strictly “as is” and “as available” basis. PROTRADE MAKES NO WARRANTY WITH REGARD TO ANY PRODUCTS, SERVICES, OR REWARDS OBTAINED BY YOU THROUGH PROTRADE OR THROUGH PROTRADE’S PARTNERS; THAT PROTRADE WILL MEET YOUR REQUIREMENTS; OR THAT PROTRADE WILL BE UNINTERRUPTED, TIMELY, ERROR FREE; NOR DOES PROTRADE MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF PROTRADE’S WEBSITE OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH PROTRADE OR ITS WEBSITE.

   2. PROTRADE EXPRESSLY DISCLAIMS ANY AND ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROTRADE SHALL NOT BE LIABLE OR RESPONSIBLE FOR THOSE GUARANTEES, WARRANTIES, AND REPRESENTATIONS, IF ANY, OFFERED BY PROTRADE ADVERTISERS, PARTNERS, MANUFACTURERS OF MERCHANDISE, OR SUPPLIERS OF SERVICES. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM PROTRADE’S WEBSITE OR THROUGH PROTRADE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

5. Limitation of Liability.

   1. PROTRADE SHALL NOT BE LIABLE FOR ANY DAMAGES, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL, RELATING TO THE PARTICIPATION OR INABILITY TO PARTICIPATE IN PROTRADE. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES; SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

   2. PROTRADE is not responsible for damages or losses that result from participating or inability to participate in the Reward Program, or reliance on or use of information, services, or merchandise provided on or through PROTRADE and its website.

6. Indemnification. You agree to indemnify and hold PROTRADE, its affiliates, officers, and employees harmless from any claim, demand, expense, or damage, including reasonable attorneys' fees relating to your use of the Rewards Program or violation of this Member Agreement.

7. No Endorsement. You acknowledge and agree that PROTRADE neither endorses the contents of advertisements or third parties’ web sites, nor assumes responsibility or liability for the accuracy of material contained therein, or any infringement of third party intellectual property rights arising therefrom, or any fraud or other crime facilitated thereby. PROTRADE is also not responsible and assumes no liability for changes or discontinuances of service from providers, which may affect rewards.

8. Termination. AT ANY TIME EITHER YOU OR PROTRADE MAY TERMINATE YOUR MEMBERSHIP WITH OR WITHOUT CAUSE. YOUR RIGHT TO USE YOUR MEMBERSHIP AND THE REWARD PROGRAM IMMEDIATELY CEASES UPON TERMINATION AND YOUR UNREDEEMED POINTS SHALL BE CANCELLED. Termination of your membership by you is effective upon you submitting a termination request through the PROTRADE website at support@protrade.com. You understand that, in some cases, you may still receive messages, which may have been scheduled prior to your termination, after termination. You may not earn PROTRADE Dollars after termination. PROTRADE reserves the right to terminate the membership of any member who appears to be using the PROTRADE Rewards Program in a manner inconsistent with this Member Agreement, the intent of this Member Agreement, or any PROTRADE rules.

9. Sole Remedy. Should you object to any of the terms and conditions of this Member Agreement, or any subsequent modifications thereto, or become dissatisfied with PROTRADE, your only recourse is to immediately discontinue participation in the Rewards Program and properly terminate your membership, as identified above.

By enrolling in the Rewards Program and/or by clicking the "I HAVE READ AND AGREE TO THE TERMS OF USE" button, you represent that you have read this Agreement in its entirety, understand its terms and conditions, are duly authorized to execute this Agreement on behalf of yourself, and you agree to be bound by the terms and conditions of this Agreement.
